Looks like a lot of fun for $500 to me. Presuming of course the pan is in good shape and you're not planning on dd-ing it.

IIRC, you can buy complete half-pans and weld them in. Expensive, sure, but if you're dedicated, there's no "rust" excuse.

If it has a title that can be registered and the pan isn't too rusty then I'd say NP. You can really get it on the road and livable for under $1500, including the purchase price.
